Terms of service
These Terms govern access to BenchRelay, a repair-operations service provided by Clear IT Networks LLC. By creating an organization, inviting a team member, or using BenchRelay, you agree to these Terms.
1. The service
BenchRelay provides tools for repair intake, work orders, bench operations, vendor coordination, customer tracking, conversations, attachments, notifications, and operational reporting. Features may change as we improve the service, but we will not materially reduce the core functionality of an active paid plan without reasonable notice.
2. Organizations, accounts, and permissions
The organization that subscribes to BenchRelay is responsible for its account, billing details, invited users, assigned roles, access credentials, and activity performed through the workspace. You must provide accurate information, protect credentials, promptly remove inappropriate access, and notify us of suspected unauthorized use. Do not share credentials or access another organization’s workspace.
Bench seats are operational users who can manage repairs and work orders according to their permissions. Collaborators and customer users may have more limited access. You are responsible for choosing permissions appropriate to each person.
3. Acceptable use and security
You may use BenchRelay only for lawful business operations. You may not probe or circumvent security controls, interfere with the service, introduce malware, scrape or overload the service, impersonate another person, misuse customer access links, or use BenchRelay to store content that violates law or another person’s rights.
4. Customer content and repair records
You retain your rights in repair records, customer information, photos, messages, notes, attachments, and other content that you submit. You give Clear IT Networks LLC the limited rights needed to host, process, display, back up, secure, and transmit that content to provide BenchRelay and related support. You are responsible for having the permissions and notices required to collect and upload it.
Do not upload content you do not have the right to use. BenchRelay is not responsible for verifying the accuracy, legality, ownership, or completeness of customer-provided content.
5. Customer communications
You are responsible for the accuracy, timing, tone, and legal basis of customer-facing messages. You must not use BenchRelay to send deceptive, unlawful, or unwanted communications. Delivery depends on configured email, SMS, and other providers, which may impose their own limits, filtering, delays, or fees.
6. Plans, billing, cancellation, and renewal
Plan pricing, included seats, usage limits, taxes, and billing intervals are shown at purchase or in your order information. Unless otherwise stated, subscriptions renew for the same interval until canceled. You authorize the applicable payment method for recurring charges. You are responsible for taxes other than taxes on our net income.
You may cancel future renewal through the available account process or by contacting support. Cancellation does not automatically erase records or waive charges already incurred. Payments are non-refundable, including for partial billing periods, unused seats, unused features, or early cancellation, except where a refund is required by applicable law.
7. Third-party services and limits
BenchRelay may connect to services such as email delivery, storage, authentication, payments, hosting, analytics, or messaging providers. Those services are subject to their own terms and availability. Provider limits, outages, filtering, and pass-through charges may affect delivery or performance. We will not represent a third-party service as guaranteed unless the applicable plan expressly says so.
8. Availability, maintenance, and support
We aim to keep BenchRelay available and reliable, but we do not promise uninterrupted or error-free operation. Maintenance, security events, provider failures, network conditions, and circumstances outside our reasonable control may cause interruptions. Support is provided through the contact channel published for your plan; a support channel is not a promise of 24/7 response or a particular resolution time.
9. Data export, retention, and account closure
You should maintain appropriate copies of important records. Where the service provides an export function, you may use it during an active account period. After cancellation or closure, we may retain or delete workspace content according to our Privacy Policy, backup cycles, legal obligations, fraud prevention needs, and the applicable order terms. Contact us promptly if you need an export before closure.
10. Intellectual property and feedback
BenchRelay, its software, interfaces, documentation, branding, and related materials belong to Clear IT Networks LLC or its licensors. These Terms grant a limited, non-exclusive, non-transferable right to use the service during your subscription. You may not copy, resell, reverse engineer, or create a competing service from it except where applicable law does not permit that restriction. If you provide feedback, you allow us to use it without compensation or obligation.
11. Disclaimers
To the maximum extent permitted by law, BenchRelay is provided on an “as available” and “as is” basis. We do not guarantee that the service will meet every business requirement, prevent every loss, preserve every record indefinitely, or replace your own operational, legal, accounting, security, or backup processes. BenchRelay does not provide legal, financial, insurance, or professional repair advice.
12. Liability
To the maximum extent permitted by law, Clear IT Networks LLC will not be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, goodwill, or data. To the maximum extent permitted by law, our aggregate liability arising from the service will not exceed the fees you paid for the service during the one month before the event giving rise to the claim. Nothing in these Terms limits liability that cannot legally be limited.
13. Indemnity
You agree to defend and indemnify Clear IT Networks LLC and its personnel against claims, losses, and reasonable costs arising from your unlawful use of BenchRelay, your content, your customer communications, your violation of these Terms, or your infringement of another person’s rights.
14. Suspension and termination
We may suspend or terminate access where reasonably necessary to prevent harm, address security or legal risk, collect overdue amounts, or respond to a material breach. You may stop using the service at any time. Provisions that by their nature should survive termination—including ownership, content rights, disclaimers, liability, indemnity, and dispute provisions—will survive.
15. Changes and notices
We may update these Terms when our service, legal obligations, or business practices change. We will post the updated version and change the date below. If a change is material, we will provide reasonable notice through the service or a contact method associated with the organization. Continued use after the effective date means the updated Terms apply.
16. Governing law and disputes
These Terms are governed by the laws of the State of Texas, without regard to conflict-of-law rules. Subject to any rights that cannot legally be waived, disputes relating to BenchRelay or these Terms will be brought in the state or federal courts located in or serving Harris County, Texas, and you consent to their jurisdiction and venue.
17. General terms
These Terms and any applicable order or plan terms are the agreement between you and Clear IT Networks LLC for BenchRelay. If another written agreement signed by both parties conflicts with these Terms, that agreement controls for the conflict. You may not assign the agreement without our consent, except as part of a merger or sale of substantially all assets. If a provision is unenforceable, the remaining provisions remain effective. A failure to enforce a provision is not a waiver.
